Senior Manager Board Affairs And Governance at Etisalat is responsible for preparing Board meeting materials, including agendas and materials for Annual General Meetings, Communicating with the Co-Chairs and Board members on topics of importance to the Board.

Duties Of Senior Manager Board Affairs And Governance

  • Advise on corporate governance best practices and ensure implementation of best practices in e&.
  • Manage the corporate governance framework for the company and ensures compliance with governance procedures.
  • Oversee and conducts induction and trainings for directors.
  • Communicate with board of directors and liaises between board and management and Board Committees.
  • Ensure that the remuneration of the members of the Board paid on time, in accordance with the approved remuneration package for each member.
  • Assist in managing board and general meetings of e&, verticals & SPVs, & process establishment and liquidation of SPVs.
  • Establish the terms of reference for board & its committees, including how many members it should have, their qualifications, capacity (independent, non-independent, executive & non-executive) & any specific responsibilities they have in relation to operating or managing the company.
  • Meet with management and the chairman to agree on items for the agenda, and developing the agenda for the meeting.
  • Ensure the distribution of all agendas, recording and approval of meeting minutes, and assignation of action items.
  • Ensure that the meeting complies with the company’s constitution, policies, and procedures, and with all relevant laws, regulations, standards, and codes of best practice.

What You Will Do More

  • Record notes of the proceedings, instructions given, reservations, decisions taken, and what information led the board to make to make its decision.
  • Notify management and relevant personnel of decisions made at the meeting that affect them.
  • Ensure that any decisions made at the meeting are compliant with any filings required by regulators.
  • Ensure that, through the company’s constitution, articles of association, bylaws or decision right manual that proper authorities have been delegated the Board to Committees and Management.
  • Advise the board regarding the appointment of authorized representatives and drafting of powers of attorney.
  • Ensure that the board has the right people in place to make important decisions on its behalf.
  • Review and keep up to date the board composition matrix and director succession timetable.

Requirements For Senior Manager Board Affairs And Governance

The eligibility requirements for the role of Senior Manager Board Affairs And Governance are as under:

  • Bachelor’s Degree in Business Administration.
  • 4-6 years relevant experience in board relations or corporate secretariat.
