Senior Compliance Counsel at ADNOC is required to support the delivery of the ADNOC Group’s Corporate Ethics & Compliance Program as approved by the Group Compliance Committee (“GCC”) from time to time (“Compliance Program”) in line with international standards. Job Purpose of Senior Compliance Counsel

  • Advises the executive functions of ADNOC and the business lines on international trade controls and sanctions (“ITC”) compliance.
  • Supports the ITC elements of ADNOC transactions, in coordination with external counsel where necessary.
  • Provides day to day support and guidance to embedded legal and compliance functions in each ADNOC Group Company on ITC matters in particular.
  • More generally, as required supports the business in managing and mitigating the corporate ethics and compliance  risks of the ADNOC Group including bribery and corruption; third party integrity; regulatory compliance; market abuse; antitrust and competition; and international trade controls and sanctions.

Duties Of Senior Compliance Counsel

  • Responsible for designing and delivering the ADNOC Group’s ITC Program, and supporting the business and wider Group in effective implementation.
  • Advises management, the executive functions of ADNOC and the business lines on ITC compliance.
  • Provides advice and support to the business lines to facilitate the implementation of robust ITC compliance practices.
  • Advises on the compliance aspects of any project or transaction or other undertaking that ADNOC may be involved in, including drafting contractual protections and negotiating with third parties, particularly in relation to ITC matters.
  • Supports the international ITC compliance requirements of ADNOC transactions, in coordination with external counsel.
  • Delivers effective and up to date awareness and training programs for ADNOC, and coordinates with other Group Companies on wider training and development initiatives, particularly in relation to ITC.
  • Provides day to day support and guidance to embedded legal and compliance functions in each ADNOC Group Company, on ITC matters in particular.
  • Provides legal and compliance advice to all ADNOC’s business units on  compliance issues as and when required, including, but not limited to, bribery and corruption; third party integrity; regulatory compliance; market abuse; antitrust and competition; and ITC.

  • Responsible for delivering individual projects falling within the Compliance Program.
  • Writing ADNOC policy and procedure to support an effective Corporate Ethics & Compliance program, particularly in relation to ITC compliance.
  • Provides knowledge transfer and support in the development of junior lawyers and compliance professionals in the function.
  • Supports the Department’s regular reporting obligations, and aggregating Group Company reporting as necessary.
  • Liaising with parts of the business in relation to effective management of compliance issues.
  • Undertakes investigations allegations of non-compliant conduct, as and when directed by the GCC or the sub-committee.

Eligibility Requirements

The eligibility requirements for the role of Senior Compliance Counsel are as under:

  • Education: Bachelor Degree in Law (Counsel) or other suitable similar discipline (Advisor).
  • Admitted to practice law in the UAE or other suitable jurisdiction (Counsel).
  • Experience: Minimum 8 years of relevant post-qualification work experience, preferably in top-flight international law / accounting / consultancy firm(s) and/or local or international blue-chip corporate(s).
  • Excellent English language (written and spoken). Fluent Arabic in addition a substantial advantage.
