Job Purpose

  • Origination, structuring, execution and distribution as a deal team leader of syndicated and structured financing across wholesale banking and financial institutions clients including preparing and negotiating term sheets, credit appraisals, coordinating transactions with shariah, due diligence reviews with clients and lawyers.
  • Support ADIB wholesale bank key objectives by building client relationships in coordination with coverage teams and assisting in conversion of new names, creating fee income I cross-sell opportunities and by profiling of ADIB as a key player in the Islamic corporate finance.
  • Ensure compliance of Sharia requirements, relevant Central Bank and other Legal regulations and ADIB’s internal policies including but not limited to Risk, Compliance and Operations.
  • Understand market and business trends and have a comprehensive understanding of all material external and internal risk factors that can have an impact on customer’s current and future business / financial conditions.
  • Sourcing deal ideas through senior interface with customers and counterparts in financial institutions.

Responsibilities of Director Structured Finance & Syndication

Client coverage

  • Under guidance and supervision from CFIB Head, be responsible for origination and conversion of mandates through interface with clients.
  • Assist CFIB Head in managing and build new relationships with key client personnel such as CFO’s, Treasurers, Risk managers.
  • Direct responsibility for assisting in building the deal pipeline.
  • Joint coverage responsibility in coordination with the relevant coverage unit in WBG and IBG.
  • Work closely with the distribution and syndicate desk during the origination, execution, and distribution of syndicated financing deals.

Structuring of Financing Solutions

  • Senior origination and lead execution resources to manage on an end-to end deal from origination to closing.
  • Supervise and perform complex modelling.
  • Conduct due diligence and perform in depth credit analysis and recommendations to the management, preparing / supervising credit memos and financial models.
  • Structure facilities that comply with approved TMRAC, bank credit policy, terms and conditions and profitability returns (AP, ROE and ROA) as per the bank’s return thresholds.
  • Prepare and negotiate terms sheets, mandate letters, negotiate documentation for deals with client, lawyers and syndicate banks in close consultation with Shari’a.
  • Prepare bank presentations and manage the syndication strategy developed with clients.

Business Momentum

  • Develop robust deals pipeline in line with overall financial objectives.
  • Review and update the deals in pipeline reports on a regular basis to accelerate deals closure.
  • Keep CFIB Head updated of major developments in relation to transactions under execution.

Risk management Director Structured Finance & Syndication

  • Review / ensure all audit files are maintained and achieve satisfactory audit.

Key Performance Indicators

  • Generate fees via origination and execution of syndications and other structured finance transactions (quantum to be agreed with Product Head annually) across both corporate and financial institutions.
  • Originate and convert new mandates plus develop robust pipeline of transactions.

Position Responsibilities

  • To lead manage and coach deal teams incl. junior resources in CFIB from inception (bidding for the mandate) to completion (documentation signing) to include, inter alia, pricing, structuring, documentation and ensuring sell down targets are attainable upon distribution.
  • Lead execution and coordinate with other staff within ADIB, such as Business Heads/Sharia and externally with consultants, accountants and lawyers to ensure timely closure of deals.

Requirements of Director Structured Finance & Syndication

  • Bachelors degree in Business, Finance, Accounting, Economics or related field.
  • 6-7 years of experience in similar role.
  • Extensive experience in the conversion of business opportunities and the management of external key account/ internal stakeholder relationship, with successful track record in syndications, structured finance and debt arrangement.
