The Corporate M&A Manager at Abu Dhabi Prots will understands and implements the group strategy of growth and acquisitions including the origination through to execution of mergers and acquisitions and joint ventures in addition to their post-merger integration.
Duties of Corporate M&A Manager
- Support all deal origination activities, including maintaining relationships internally and with third party advisors.
- Support the evaluation and valuation of opportunities including liaison with relevant internal parties and obtaining internal approvals to progress potential transactions.
- Support the evaluation, selection, scope(s) of work and appointment of third party advisors for a transaction.
- Support management of the M&A process, valuation considerations and due diligence alongside all advisors (financial, commercial, technical, tax, legal, etc.).
- Undertake valuations to support internal review, Non-Binding Offer (NBO) and Binding Offer (BO) stages incl. managing preparation of Fin Model (for valuation and analysis) of the target company.
- Assist in internal review of various transactional documents including NBO’s, BO’s, Sale and Purchase Agreement (SPAs), Shareholders Agreement Heads of Terms (HoT), etc.
- Prepare investment presentations to senior management, Investment Committee, Strategy and Investment Committee, BoD etc.
- Support post-merger integration responsibilities to ensure a successful integration including working with various groups including management.
Eligibility Requirements
The eligibility requirements for role of a Corporate M&A Manager are as under:
- Bachelors of Commerce, Business, Law.
- Experience in successful M&A processes, valuations, financial modelling, investment presentations, etc.
- 8+ years of experience.
- Experience in Corporate Acquisition, Investment Banking, Private Equity, Advisory.
